These Scratch Financial, Inc.’s U.S. Provider Referral Program Terms–Scratch Checkout (“Terms”) describe the terms and conditions that apply to Provider’s participation (“you” or “your”) in Scratch’s U.S. Provider Referral Program (“Referral Program”) and are between you and Scratch Financial, Inc. (“Scratch”, “we” or “us”). By participating in the Referral Program, you agree to these Terms. All capitalized but undefined terms in these Terms have the meanings ascribed to them in the Scratch Payment Services Agreement.
1. Eligible Referral Program Users
This Referral Program is open to U.S.based veterinary clinics or practices that currently use Scratch Checkout.
2. How To Refer A Veterinary Clinic or Practice
You can sign up for the Referral Program in your Scratch dashboard account. Once you sign up, you will be provided with a unique referral link. To make a referral, share your referral link with other U.S.based veterinary clinics or practices, and the person you are referring will receive an email letting them know that you referred them, along with an invite for them to learn more about Scratch Checkout.
If you make a successful referral (as defined below), you will be eligible for rewards as specified in Section 4.
3. Referral Program Limitations
You may only share your referral link with colleagues, friends, or veterinary staff. Only referrals to U.S.based veterinary clinics or practices are eligible for rewards.
Promoting Scratch Fairly and Transparently.You must make clear that you may receive a reward from Scratch in connection with the use of your referral link(s).
The following is prohibited:
Your participation in the Referral Program is subject to your compliance with the Terms, theScratch Payment Services Agreement. and any other agreements we have with you, any additional policies or requirements posted by Scratch during or after the Referral Program, and all applicable laws, guidelines, and regulations, including but not limited to regulations regarding electronic messaging and anti-spam and privacy laws.
Scratch reserves the right to review and investigate all referral activities. If at any time Scratch suspects or determines, in its sole discretion, that you have not complied with these Terms or have otherwise abused the spirit or terms of this Referral Program, Scratch may immediately and without notice terminate or suspend your participation in the Referral Program, void your referral link(s), and refuse to provide you with any pending or earned rewards.
4. Earn Rewards For Your Referrals
Your successful referrals (as defined below) will make you eligible for a reward subject to the following:
Rewards for Making a Referral If your referral signs up and enables Scratch Checkout (subject to the restrictions set forth below), then you will earn a $250.00 gift card through our third party vendor – Tango. After your second successful referral, you will earn a $300.00 gift card through Tango. For every successful referral after the second one, you will earn a $450.00 gift card through Tango. You can only receive one referral reward per successful referral.
Reward for Clinic or Practice That is Referred When a practice or clinic you referred signs up and enables Scratch Checkout, they will receive a free payment processing terminal, valued at $250.00, for use with Scratch Checkout. The referred clinic or practice will be responsible for shipping and handling for the payment processing terminal. Scratch makes no warranties or representations regarding the functionality of the payment processing terminal.
Restrictions on Earning Rewards. Only successful referrals are eligible for rewards. A “successful referral” means that the clinic or practice you refer signs up for Scratch Checkout and processes at least $10,000.00 (USD) in payments within the first thirty (30) days of sign up. Referrals to clinics or practices that were previously contacted by Scratch’s Sales Team or clinics or practices that have already contacted Scratch for information (inclusive of demonstrations) about Scratch Checkout are not eligible for rewards. If your referred clinic or practice does not meet these criteria, you will not receive a reward. Whether a referral qualifies as a successful referral will be determined in Scratch’s sole discretion. All Scratch decisions are final, non-appealable and binding, except where prohibited by applicable law.
Scratch reserves the right to disqualify and prosecute to the fullest extent permitted by law any referrer that, in Scratch’s reasonable suspicion, tampers with the referral process or violates these Terms.
Rewards are not redeemable for cash. Rewards are non-transferable and no prize substitution, exchange or cash equivalent will be allowed, except by Scratch, who reserves the right to substitute a reward of equal or greater value in case of unavailability of the reward or force majeure, at Scratch’s sole discretion
By making a referral, you allow Scratch to use your name, photograph, likeness, voice, reward information, and biographical information for publicity and promotional purposes without further compensation where permitted by law.
Scratch will issue any necessary tax forms for rewards that you receive, but you are solely responsible for paying any taxes on those rewards.
5. Referrals Referred By Multiple People (Referrers)
If your referral was also referred by another person, you will only be eligible for rewards if the referred person uses your unique referral code or link. If your referral uses another person’s code or link, you will not be eligible for any reward
6. Updates, Changes To And Termination Of The Referral Program
To the maximum extent permitted by applicable law, Scratch reserves the right to change or cancel this Referral Program at any time, at its sole discretion, without notice. Without limiting the foregoing, Scratch may (a) set limitations on or change the reward type or reward amount that you may earn in connection with the Referral Program; (b) modify the criteria for or restrictions on earning rewards; (c) change the requirements for eligibility in the Referral Program; and (d) terminate the Referral Program.
On termination of the Referral Program, all referral links will be deactivated and forfeited at that time, and you will only be eligible to receive existing rewards that were earned prior to the date of termination.
7. Additional Disclaimers; Limitations
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SCRATCH MAKES NO WARRANTIES OF ANY KIND OR NATURE, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE REGARDING ANY REWARD OR YOUR PARTICIPATION IN THE REFERRAL PROGRAM, AND EXPRESSLY DISCLAIMS ALL SUCH WARRANTIES. SCRATCH DISCLAIMS ALL RESPONSIBILITY IN CONNECTION WITH YOUR REFERRAL LINKS AND THE EFFICACY THEREOF, INCLUDING IF YOUR REFERRAL LINK(S) FAIL. SCRATCH IS NOT RESPONSIBLE FOR LOST, MISDIRECTED, OR DELAYED REFERRALS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) IN NO EVENT WILL SCRATCH ITS AFFILIATES, AND LICENSORS BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR SPECIAL DAMAGES OF ANY NATURE WHATSOEVER, INCLUDING LOST REWARDS, INJURY, DAMAGE TO PERSONS OR PROPERTY, LOST PROFITS OR REVENUE, OR FOR ANY CLAIM OR DEMAND BY ANY THIRD PERSON, ARISING OUT OF OR RELATED TO THESE TERMS, THE PERFORMANCE OR BREACH THEREOF, OR THE USE OR MISUSE OF REWARDS; AND (B) SCRATCH’S AGGREGATE TOTAL LIABILITY TO YOU UNDER THESE TERMS WILL NOT EXCEED THE AMOUNT OF ANY REWARDS ACTUALLY PROVIDED TO YOU.
8. Indemnification
YOU AGREE TO DEFEND, INDEMNIFY, AND HOLD SCRATCH, ITS AFFILIATES AND LICENSORS, AND THEIR RESPECTIVE EMPLOYEES, OFFICERS, DIRECTORS, AND REPRESENTATIVES, HARMLESS FROM AND AGAINST ALL THIRD PARTY CLAIMS, DAMAGES, LOSSES, LIABILITIES, COSTS, AND EXPENSES (INCLUDING ATTORNEYS’ FEES) RELATING TO (A) YOUR VIOLATION OF ANY TERM OR CONDITION OF THESE TERMS (INCLUDING ANY REFERRAL PROGRAM POLICY); OR (B) YOUR NEGLIGENCE OR WILLFUL MISCONDUCT
9. Disputes
Any and all disputes, claims, and causes of action arising out of or connected with these Terms will be resolved according to the Binding Individual Arbitration provisions in the Scratch Payment Services Agreement.
10. Miscellaneous
The Referral Program is void where prohibited by law.
All personally identifiable information provided in connection with this Referral Program will be collected, used, and shared pursuant to Scratch’s Privacy Policy for Providers.
These Terms, as supplemented by the Scratch Payment Services Agreement., constitute the entire agreement and understanding between you and Scratch with respect to the subject matter hereof and supersede all other communications, whether oral or written, between the parties with respect to such subject matter.
You may not assign these Terms without Scratch’s prior written consent. Subject to the foregoing restriction, these Terms will be binding on, inure to, and be enforceable against the parties and their respective successors and assigns.
Scratch’s failure to enforce your strict performance of any provision of these Terms will not constitute a waiver of Scratch’s right to enforce such provision or any other provision of these Terms.
In the event of a conflict between these Terms and the Scratch Payment Services Agreement and/or some other Scratch Checkout agreement/contract, these Terms will prevail with respect to the Referral Program.
In the event that any provision of these Terms or the application of any provision of these Terms are held by a tribunal of competent jurisdiction to be contrary to law or otherwise invalid, the remaining provisions of these Terms shall remain in full force and effect and these Terms shall be interpreted as if such invalid provision(s) were omitted.
